General Terms & Confidentiality Agreement

These General Terms and Conditions ("GTC") apply to all services provided by Valentina Scheuerer (public-facing: Vida Valentina Paz), c/o Änderungsschneiderei Michael, Westphalweg 41, 12109 Berlin, acting under the brand VIDANITY — ("provider"), to natural persons ("client").

By booking an encounter or related offer, the client expressly accepts these GTC, including the following confidentiality agreement ("NDA") and the health notice. Deviating terms of the client do not become part of the contract.

"Encounter" in the sense of these GTC means the personal, discreet presence and conversational accompaniment by the provider — for example as conversation, shared presence, travel encounters or encounters during transition. This also includes a written exchange by email under the format Five Questions (see Section 14).

VIDANITY offers discreet human encounters for moments when the client does not want to be alone. Specifically, the offer includes among other things:

  • Conversation (listening, neutral dialogue without judgement)
  • Shared presence (joint appointments, walks, silent presence)
  • Encounters on business trips (calm and human presence on the road)
  • Encounters during phases of transition and change
  • Five Questions (an exchange by email over four weeks)

Location, duration and framework are agreed individually in advance. The provider does not owe a specific outcome but an honest, attentive encounter within the agreed period (service contract under §§ 611 ff. BGB).

Important: VIDANITY is not medical treatment, psychotherapy, medical, psychological or psychiatric counselling, and not crisis intervention. The provider is neither a licensed physician, psychotherapist, alternative practitioner for psychotherapy nor a state-recognised counsellor in the sense of the German HeilprG.

The encounter does not replace any medical, psychological, psychotherapeutic or pharmacological treatment. In health, psychological or existential crises the client is obliged to seek qualified medical or therapeutic help without delay (e.g. GP, psychotherapist, emergency 112, Telefonseelsorge 0800 111 0 111).

The client assures that she/he is in a psychologically and physically stable condition that allows for open conversation. In case of acute illness, suicidal thoughts, acute crises or under the influence of consciousness-altering substances, no encounter will take place.

VIDANITY is not an escort service and not an erotic service. Sexual contact, advances or expectations of any kind are excluded (see Section 10).

The contract is concluded once the provider confirms a request from the client in text form (e.g. email). Before the first appointment, mutual expectations, framework and suitability are clarified in writing by email.

By booking, the client confirms that she/he has reached the age of 18 and has full legal capacity under the BGB.

For consumers: since the encounter is a service appointment scheduled at a specific time at the client's request, there is no statutory right of withdrawal under § 312g (2) no. 9 BGB. Instead, the cancellation terms in Section 6 apply. For Five Questions, Section 14 point 6 applies instead.

The flat-rate fee for the respective format, as stated in the offer or confirmation by the provider, applies. VIDANITY does not bill by the hour.

The provider is a small-business operator within the meaning of § 19 UStG — therefore no VAT is shown. Payment is made by bank transfer. The full fee is payable in advance; a booking becomes binding upon receipt of payment. For travel engagements, payment is due no later than fourteen days before departure. Travel, accommodation and meal costs of the provider are borne by the client unless otherwise agreed.

Cancellations and rescheduling must be made in text form (email). Receipt by the provider is decisive.

  • Free of charge up to 72 hours before the encounter
  • Thereafter 50 % of the agreed fee
  • Within 24 hours of the encounter, or no-show: 100 % of the agreed fee

Travel engagements

  • Free of charge up to thirty days before departure
  • Thereafter 50 % of the agreed fee
  • Within fourteen days of departure: 100 % of the agreed fee
  • Costs already incurred — flights, accommodation, reservations — are borne by the client in every case
  • One rescheduling is free of charge: with 72 hours' notice for in-person encounters, thirty days for travel
  • Any further rescheduling, or any rescheduling requested outside these notice periods, is treated as a cancellation under the terms above.

In cases of force majeure, acute illness or other unforeseen events, both parties will seek an amicable rescheduling. The provider reserves the right to reschedule appointments at short notice in justified exceptional cases; payments already made will then be fully refunded or credited.

For encounters involving travel, the following applies in addition:

  • The daily rate for travel follows the current fee list and is confirmed in writing before the booking.
  • A separate room in the same house as the client is provided at the client's expense.
  • Minimum booking: two days within Europe, four days on long haul.
  • Days are counted from departure to return.
  • Flights are in Business or First Class only and are borne by the client.
  • Travel, accommodation, meals, admissions and transfers are borne by the client throughout.

The provider is liable without limitation only for damages caused by intent or gross negligence and for damages from injury to life, body or health resulting from a negligent or intentional breach of duty by the provider.

For other damages, in particular those resulting from a slightly negligent breach of non-essential contractual duties, liability is excluded. Otherwise, the provider's liability is limited to the typical, foreseeable damage, but at most to the amount of the fee agreed for the relevant encounter.

Liability for decisions, actions or omissions of the client during or after the encounter is excluded. The client is solely responsible for her/his physical and emotional well-being, her/his decisions and her/his actions.

The parties mutually agree to strict confidentiality regarding all information they become aware of in the context of the initiation, performance or follow-up of the encounter.

9.1 Definition of confidential information. Conversation contents, personal experiences, stories, emotions, wishes, worries and experiences of the client; identity of the client, her/his environment, family, company or business partners; business processes, plans, contracts, finances, strategies or internal procedures; methods, approaches and content of the provider herself.

9.2 Exceptions. Information is not confidential if it was demonstrably already publicly known at the time of disclosure, was lawfully known to the receiving party beforehand, was lawfully obtained from third parties without a confidentiality obligation, or was released with the written consent of the disclosing party.

9.3 Duties of the receiving party. The receiving party will use confidential information exclusively for the purpose of the encounter, not pass it on to third parties, not publish, copy or otherwise make it accessible — neither orally nor in writing nor electronically.

9.4 Duration. The confidentiality obligation exists indefinitely and survives the termination of the specific encounter relationship until it is lifted in writing by the respective disclosing party.

9.5 Legal disclosure obligations. Existing statutory disclosure or reporting obligations remain unaffected (in particular in the case of a threatened criminal offence under § 138 StGB or court order). The provider will inform the client in advance where legally permissible.

9.6 Non-disparagement. Both parties undertake not to make disparaging public statements about the other party (in particular in social networks, review portals and media). Factual, truthful reviews remain unaffected.

The encounter thrives on mutual respect. The following are prohibited and grounds for immediate termination of the encounter without refund:

  • Any form of sexual advance, harassment or transgression
  • Verbal or physical violence, threats, discriminatory remarks
  • Appearing heavily intoxicated (alcohol, drugs)
  • Secret photo, audio or video recordings without express consent of the provider

The provider reserves the right to end the encounter immediately in such cases and — in cases of criminally relevant behaviour — to inform the competent authorities. Payments already made will not be refunded; further damage claims are reserved.

Personal data is processed exclusively for the purpose of contract initiation, performance and fulfilment of legal obligations (Art. 6 (1) (b) and (c) GDPR). Data is stored only as long as required for these purposes; statutory retention periods (e.g. 10 years under § 147 AO) remain unaffected. Disclosure to third parties takes place only where legally required or with the express consent of the client. Details and the client's rights (access, rectification, erasure, objection) are set out in the separate privacy policy.

Applicable law: the law of the Federal Republic of Germany applies exclusively, excluding the UN Convention on the International Sale of Goods. For consumers habitually resident in another EU state, the mandatory consumer protection rules of their home country additionally apply.

Place of jurisdiction: if the client is a merchant, a legal entity under public law or a public-law special fund, the provider's seat is the exclusive place of jurisdiction for all disputes arising from this contract.

Dispute resolution: the European Commission provides a platform for online dispute resolution (ODR): ec.europa.eu/consumers/odr. The provider is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

Severability: should individual provisions of these GTC be or become invalid or unenforceable, the validity of the remaining provisions remains unaffected.

Written form: amendments or additions to these GTC and the NDA require text form. There are no verbal side agreements.

By concluding a booking with VIDANITY, the client confirms that she/he has read, understood and accepted these GTC including the confidentiality agreement and the health notice.

1. Start and duration. The start and end of each encounter are agreed at booking. Booked time begins at the agreed time at the agreed meeting point. Breaks, meals and transfers between locations form part of the booked time. Time together comprises up to eight hours per day.

2. Lateness. If the guest is late, the agreed start and end times remain unchanged. If VIDANITY is late, the missed time is added at the end.

3. Extension. An extension is possible only by mutual agreement. The first 30 minutes are extended as a courtesy; thereafter, each additional hour or part thereof is charged at €400. Where an extension exceeds the scope of A Dedicated Day, the Dedicated Day fee applies.

4. Online encounters. Time begins at the agreed time in the online room provided.

5. Travel companionship. Travel days count from departure to return. On journeys, too, time together comprises up to eight hours per day; arrival and departure days are arranged separately. The minimum bookings and terms of the respective travel format apply.

6. Expenses. The fee covers presence only. The guest bears all costs for meals, admissions, transport, accommodation and travel. Travel arrangements for VIDANITY are booked in flexible, rebookable fares. Travel time within the city is not charged. All prices are subject to any applicable taxes.

7. Payment. The full fee is payable before the encounter. A booking becomes binding upon receipt of payment.

8. Cancellation. Cancellation is free of charge up to 72 hours before the start. After that, 50 % of the fee is due; with less than 24 hours' notice, 100 %. For travel companionship, the deadlines in Section 6 apply. Flights, accommodation and tickets already booked are borne by the guest in all cases.

9. Identity and safety. VIDANITY may request confirmation of identity before an encounter. First encounters take place in a public setting.

10. Boundaries and termination. Encounters with VIDANITY are neither romantic nor erotic in nature and constitute neither therapy, coaching nor a medical service. Photographs, video or audio recordings of VIDANITY require her prior consent. VIDANITY may end an encounter at any time if these boundaries are disregarded or she feels unsafe; in this case the full fee remains due.

11. Discretion. VIDANITY treats the identity of every guest and the content of every encounter as confidential. A mutual non-disclosure agreement (NDA) is signed as standard before every in-person meeting.

12. Cancellation by VIDANITY. Should VIDANITY have to cancel an encounter for good cause, such as illness, the guest may choose either an alternative date or a full refund of the fee. In this case, VIDANITY assists wherever possible with cancelling or rebooking travel arrangements already made. Further claims, in particular for reimbursement of travel and booking costs, are excluded.

13. Currency. All fees are stated and payable in euro. Bank and conversion charges are borne by the guest.

14. Active encounters and condition. In active encounters, such as sport or excursions into nature, the guest takes part at their own responsibility and decides on their own physical fitness. If a guest appears noticeably under the considerable influence of alcohol or other substances, VIDANITY may end the encounter; the fee remains due.

15. Minors. Bookings are made by persons of legal age. Minors may take part in an encounter with the written consent of a legal guardian; in this case the booking is made by the guardian. Encounters with minors take place exclusively in public settings or in the presence of a legal guardian.

16. Liability. VIDANITY is liable without limitation for intent and gross negligence and for injury to life, body or health. Otherwise, VIDANITY is liable only for breach of essential contractual obligations, limited to the foreseeable damage typical for the contract.

1. Scope. Five Questions is an exchange by email. VIDANITY asks five questions, one at a time; the client answers at their own pace within four weeks. VIDANITY conducts only a limited number of these exchanges at a time and confirms the start beforehand. Five Questions is of the same nature as every encounter: platonic, not therapy, not coaching, not a medical service and not crisis support.

2. Start. The four weeks begin with VIDANITY's first question.

3. Response time. Every message from the client is answered within 48 hours. Messages the client does not use within the four weeks lapse; the period is not extended unless agreed in writing.

4. Frame. Messages beyond the agreed number or after the end of the four weeks are not answered. Five Questions is not an instant messaging or chat service.

5. Payment. The full fee is payable in advance. A booking becomes binding upon receipt of payment.

6. Right of withdrawal for consumers. Consumers have a statutory right of withdrawal of fourteen days. If the client expressly requests that Five Questions begin before the end of this period, she/he acknowledges that the right of withdrawal expires once the service has been fully performed; on withdrawal during the period, a proportionate fee for the emails already exchanged is due.

7. Cancellation. Until VIDANITY's first email has been sent, cancellation is free of charge, subject to point 6.

8. Confidentiality and deletion. All emails are confidential under Section 9. They are never forwarded or published. At the client's request, VIDANITY deletes the exchange once it has ended, subject to statutory retention obligations, for example for invoices. Copies held by the client or by email providers are beyond VIDANITY's control. Photos or other content are shared by either side only voluntarily.

9. Boundaries. Romantic, sexual or abusive content ends Five Questions; the fee remains due. In an acute crisis, the client contacts emergency services or qualified help without delay (see Section 3); VIDANITY may pause or end Five Questions in such cases.

10. Transition to an encounter. Where both wish, Five Questions may lead to an encounter in person or online, booked separately.
